1. Parties, Acceptance, and Scope of This Document

This Limited Lifetime Warranty (the "Warranty") is extended by Fairacres Lighting LLC, a Nebraska limited liability company with its principal place of business in Omaha, Nebraska ("Fairacres Lighting," the "Company," "we," "us," or "our"), solely to the original purchaser of a professionally installed Fairacres Lighting permanent architectural lighting system (the "Original Purchaser," "you," or "your") at the property address identified on the executed installation agreement (the "Covered Property"). This Warranty becomes effective on the date of substantial completion of the installation as documented by the Company (the "Commencement Date") and constitutes the entire warranty obligation of the Company with respect to the System, superseding any prior oral or written representations concerning warranty coverage. Acceptance of installation, or payment of the final installation balance, constitutes acceptance of the terms of this Warranty in their entirety.

2. Definitions

1. "System" means the permanently installed architectural lighting system supplied and installed by the Company at the Covered Property, comprising the enclosed aluminum tracking channels, low-voltage lighting modules, power and control components, low-voltage wiring installed by the Company, and associated mounting hardware, in each case as itemized on the installation agreement.
2. "Manufacturing Defect" means a flaw arising from the fabrication or assembly of a System component that exists at the time of installation and that causes the component to fail to perform in accordance with its specifications under normal residential or commercial operating conditions.
3. "Material Fault" means a deficiency inherent in the raw materials or constituent parts of a System component — including but not limited to substandard aluminum alloy, defective diode wafers, faulty solder joints, compromised conformal coatings, or defective wiring insulation — that exists at the time of installation and manifests during the Warranty Period.
4. "Defined Lifetime" means the expected operational service life of the System and its components, which the Company defines, based on manufacturer specifications, component engineering ratings, and reasonable field-service expectations for the climate of the service area, as a period of not less than eight (8) years and not more than seventeen (17) years from the Commencement Date, the applicable duration within that range being determined by the specific component involved, the installation environment, duty cycle, and usage patterns.
5. "Warranty Period" means, for each component of the System, the Defined Lifetime applicable to that component, commencing on the Commencement Date and expiring automatically upon the earlier of (i) the end of the applicable Defined Lifetime, or (ii) any event of termination described in Section 7.
6. "Normal Wear and Tear" means the gradual deterioration of the System or any component thereof resulting from ordinary, intended use and exposure over time, including without limitation gradual lumen depreciation of light-emitting diodes, minor cosmetic weathering or oxidation of channel finishes, fading of finishes attributable to ultraviolet exposure, and progressive degradation of gaskets and seals within their rated service life.

3. What This Warranty Covers

Subject to the terms, conditions, limitations, and exclusions set forth in this document, the Company warrants to the Original Purchaser that, for the duration of the applicable Warranty Period, each component of the System will be free from Manufacturing Defects and Material Faults. If a covered component fails during its applicable Warranty Period as the result of a Manufacturing Defect or Material Fault, the Company will, at its sole election and as the Original Purchaser's sole and exclusive remedy, either (a) repair the affected component; (b) replace the affected component with the same component or a component of substantially equivalent function and quality (which may be a newer-generation equivalent where the original is no longer produced); or (c) refund the depreciated value of the affected component, calculated on a straight-line basis over the applicable Defined Lifetime. Repair or replacement of a component does not extend, restart, or otherwise modify the original Warranty Period applicable to that component or to the System.

3.1 Labor

Diagnostic visits and warranty repair labor performed by the Company in connection with a valid warranty claim are included at no charge to the Original Purchaser during the Warranty Period, provided the claim procedure in Section 6 has been followed.

3.2 Relationship to the Satisfaction Guarantee

This Warranty is separate from, and in addition to, the Company's installation satisfaction guarantee ("we make it right until you love it"), which addresses workmanship and aesthetic satisfaction at and around the time of installation. Nothing in this Warranty limits the satisfaction guarantee, and nothing in the satisfaction guarantee extends the coverage or duration of this Warranty.

4. Duration; Meaning of "Lifetime"

The term "Lifetime," as used in the name and body of this Warranty, refers to the Defined Lifetime of the System and its components as defined in Section 2(d) — that is, the reasonable, defined operational service life of the product, being a period of eight (8) to seventeen (17) years from the Commencement Date depending on the component, installation environment, and usage — and does not refer to the lifetime of the Original Purchaser, the lifetime of the Covered Property, or an unlimited or perpetual period. Upon expiration of the Defined Lifetime applicable to a component, all warranty coverage for that component ends automatically without notice, even if the component remains in service thereafter. The Company will, upon written request, identify the Defined Lifetime applicable to any specific component of an installed System.

5. Non-Transferability

This Warranty is personal to the Original Purchaser and applies only while the Original Purchaser owns and occupies the Covered Property. This Warranty is not transferable or assignable, in whole or in part, by operation of law or otherwise. Without limiting the foregoing, coverage terminates automatically and permanently, without notice and without refund or other compensation, upon (a) the sale, conveyance, gift, or other transfer of the Covered Property to any other person or entity, including transfer to a trust, estate, or family member; (b) the transfer of the System apart from the Covered Property; or (c) relocation of the System to another property, whether or not performed by the Company. Subsequent owners of the Covered Property acquire no rights under this Warranty, and no representation by any real estate agent, inspector, or other third party can create such rights.

6. Claim Procedure

1. Written notice. The Original Purchaser must notify the Company of a suspected defect within thirty (30) days of first discovery, by telephone at (402) 547-7340 followed by written confirmation (email is sufficient), stating the property address, a description of the issue, the approximate date of first occurrence, and photographs where practicable.
2. Access and inspection. The Original Purchaser must provide the Company reasonable access to the Covered Property during normal business hours to inspect, diagnose, photograph, and test the System. The Company may remove affected components for bench testing.
3. Determination. The Company will determine, acting reasonably and in good faith, whether the reported condition constitutes a Manufacturing Defect or Material Fault covered by this Warranty. Conditions attributable to any exclusion in Section 7 are not covered.
4. Remedy. For covered claims, the Company will perform the remedy elected under Section 3 within a commercially reasonable time, subject to component availability, weather, and safe access conditions.
5. Non-covered visits. If inspection reveals that the reported condition is not covered by this Warranty, the Company may charge its then-current service rates for the visit, and will communicate those rates before performing any non-warranty work.

7. Exclusions — What This Warranty Does Not Cover

This Warranty does not cover, and the Company shall have no obligation or liability of any kind with respect to, any failure, damage, malfunction, degradation, or nonconformity arising from or attributable in whole or in part to any of the following:

1. Normal Wear and Tear. Gradual deterioration from ordinary use and exposure as defined in Section 2(f), including expected lumen depreciation, cosmetic weathering, finish fading, and end-of-rated-life expiry of components that have served their Defined Lifetime.
2. Acts of Nature. Damage caused by events beyond the Company's reasonable control, including without limitation lightning, hail, windstorm, tornado, derecho, flood, ice damming, snow load, wildfire, earthquake, falling trees or limbs, animal or insect intrusion, and any other act of God or force majeure event; and damage caused by electrical surges, grid faults, or utility events originating outside the System.
3. Misuse or Abuse. Any use of the System contrary to its intended purpose or the Company's instructions, including physical impact, hanging or attaching objects to channels or modules, pressure-washing directed at the System, operation outside rated electrical parameters, or intentional damage by any person.
4. Unauthorized Alterations. Any repair, modification, relocation, extension, reconfiguration, disassembly, or servicing of the System, in whole or in part, performed by any person other than the Company or its expressly authorized technicians, including the connection of third-party hardware, controllers, or power supplies to the System. Any unauthorized alteration voids this Warranty in its entirety as to the altered portion and as to any failure caused by the alteration.
5. Neglect of Maintenance. Failure to perform, or to permit the Company to perform, reasonable and customary maintenance of the System and its surroundings, including keeping channels free of debris accumulation, maintaining gutters and rooflines so as not to direct water abnormally onto System components, and reporting known issues promptly as required by Section 6(a). Continued operation of a visibly damaged component after discovery constitutes neglect.
6. Damage attributable to structural movement, settling, or failure of the building or substrate to which the System is attached; roof replacement or repair work performed by third parties; painting over System components; or alterations to the Covered Property that affect the System.
7. Consumable or ancillary items not part of the permanently installed System, and any product not supplied and installed by the Company.
8. Cosmetic conditions that do not affect the illumination function of the System.
9. Seasonal (non-permanent) holiday lighting products, which remain the property of the Company and are maintained under the seasonal service program rather than this Warranty.

8. Owner Responsibilities

The Original Purchaser is responsible for (a) operating the System in accordance with the instructions provided at installation; (b) maintaining the premises so that the System is not subjected to conditions outside normal exposure; (c) promptly reporting suspected defects as set out in Section 6; and (d) maintaining reasonable internet or network service where required for the operation of connected control features, the availability of which depends on third-party services outside the Company's control and is not covered by this Warranty.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) THE REMEDIES STATED IN SECTION 3 ARE THE SOLE AND EXCLUSIVE REMEDIES FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS WARRANTY OR THE SYSTEM; (B) IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOSS OF USE, LOSS OF ENJOYMENT, DIMINUTION IN PROPERTY VALUE, OR COSTS OF SUBSTITUTE LIGHTING, WHETHER ARISING IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (C) THE COMPANY'S AGGREGATE LIABILITY UNDER THIS WARRANTY SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE ORIGINAL PURCHASER FOR THE INSTALLATION OF THE SYSTEM. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. This Warranty gives you specific legal rights, and you may also have other rights that vary by jurisdiction. Nothing in this Warranty limits any non-waivable rights you may have under applicable consumer-protection law.

10. Disclaimer of Other Warranties

EXCEPT FOR THE EXPRESS WARRANTY STATED HEREIN, THE COMPANY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, PROVIDED THAT WHERE APPLICABLE LAW DOES NOT PERMIT THE DISCLAIMER OF IMPLIED WARRANTIES, ANY SUCH IMPLIED WARRANTY IS LIMITED IN DURATION TO THE SHORTER OF THE PERIOD PERMITTED BY LAW OR THE APPLICABLE WARRANTY PERIOD.

11. General Provisions

1. Entire agreement. This Warranty, together with the installation agreement, constitutes the entire agreement of the parties concerning warranty coverage of the System and may be amended only in a writing signed by an authorized officer of the Company.
2. No oral modification. No employee, installer, dealer, distributor, or agent has authority to modify, expand, or extend this Warranty orally or by course of conduct.
3. Severability. If any provision of this Warranty is held invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable.
4. Waiver. The Company's failure to enforce any provision shall not constitute a waiver of that or any other provision.
5. Governing law and venue. This Warranty is governed by the laws of the State of Nebraska, without regard to conflict-of-laws principles, and any dispute arising hereunder shall be brought exclusively in the state or federal courts located in Douglas County, Nebraska.
6. Survival. Sections 5, 7, 9, 10, and 11 survive the expiration or termination of the Warranty Period.
